Terms of Service

Emmiely is operated by its service provider (“we,” “us,” or the “Platform”) and offers AI-powered character chat and related features (the “Service”). By downloading, installing, accessing, or using the Service, you confirm that you have read and agree to be bound by these Terms. If you do not agree, do not use the Service.

We may revise these Terms from time to time. Revisions take effect when posted unless we state otherwise. Please review them periodically. Continued use after changes constitutes acceptance.

1. Eligibility and accounts

• You must be at least 18 years old to use the Service. If you are not, do not register or use the Service.
• You are responsible for safeguarding your account credentials (including third-party login tokens) and for all activity under your account. Notify us promptly through official channels if you suspect unauthorized access or a security issue.
• You must provide accurate information. We may suspend or terminate access if information is false or misleading.

2. Notices

We may send notices about the Service, security updates, or promotions via in-app messages, email, pop-ups, or announcements. If you fail to keep contact details current and miss a direct notice, we may rely on general announcements where permitted by law.

3. Service content and acceptable use

The Service lets you interact with virtual characters, browse or select characters, and chat. Preferences and customization depend on the features we actually provide.

You are responsible for content you submit, generate, or share through the Service, including text, images, or audio, and you must not infringe third-party rights.

You must not create, upload, distribute, or solicit content that:

• Infringes intellectual property rights, privacy, publicity, or defamation rights of others.
• Constitutes harassment, hate speech, threats, violence, obscenity, child sexual abuse material, fraud, promotion of illegal activity, or other unlawful or harmful material.
• Contains viruses, malware, or attempts to disrupt the Service or others’ devices.
• Scrapes or harvests other users’ contact information without authorization, or sends bulk unsolicited messages.
• We reasonably deem inappropriate or harmful.

We may remove or restrict content, features, or accounts for violations without prior consent, except where prior notice is required by law.

4. AI and generated content

AI output can be unpredictable and may be inaccurate, incomplete, or objectionable. We do not pre-screen all generated content. You are solely responsible for how you use outputs and bear the associated risks. Outputs are not professional advice (medical, legal, financial, or otherwise).

5. Creator content and platform use

If you create or upload characters or related materials on the Platform, you grant us a non-exclusive, worldwide license to use, store, display, and distribute that content as reasonably necessary to provide, show, and operate the Service, as further described in product features or separate notices.

Deleting or changing your characters or materials may affect what new users see. To preserve existing users’ chat history and system stability, we may retain historical display of prior sessions within necessary limits; that does not constitute a new publication of your content.

6. Third-party links and services

The Service may link to third-party websites or apps. We do not control them and are not responsible for their content, products, or services. Disputes between you and third parties are solely between you and them.

7. Availability and changes

We strive to keep the Service available but do not guarantee uninterrupted, error-free, or fully satisfactory operation. The Service may be suspended or changed for maintenance, upgrades, force majeure, network issues, regulatory requirements, or other reasons. To the fullest extent permitted by law, we are not liable for damages arising from changes, interruptions, or termination.

If you do not use your account for an extended period, we may restrict or freeze it where permitted by law.

8. Promotions and programs

We may run promotions, campaigns, or reward programs. If we detect fake registration, cheating, exploitation of bugs, or other unfair means to obtain benefits, we may cancel participation, revoke rewards, terminate accounts, and pursue legal remedies where appropriate.

9. Intellectual property

Except for rights you hold in your own user-generated content, the software, branding, interface, documentation, and materials we provide remain owned by us or our licensors. You may not copy, modify, distribute, or use them commercially without written permission.

For public character names, avatars, or bios you provide, we may use them in reasonable ways to promote or improve the Service; you warrant that you have the rights to grant such use.

10. Enforcement and termination

If you abuse the Service, use bots or scrapers maliciously, infringe others’ rights, attack our systems, impersonate others, evade enforcement, or violate these Terms or applicable law, we may restrict or terminate your account, remove content, or refuse service, with or without prior notice where allowed by law.

If your account is limited or closed for breach of these Terms, we have no obligation to refund, compensate, or return virtual items, except where required by law.

11. Disclaimer

To the fullest extent permitted by law, the Service is provided “as is” without warranties of any kind, express or implied. We are not liable for direct or indirect damages arising from use or inability to use the Service, except where liability cannot be excluded by mandatory law.

12. Dispute resolution

Disputes arising from these Terms should first be addressed through official channels in good faith. If not resolved, the parties agree to submit to the courts of competent jurisdiction, or to binding arbitration or other procedures we may specify in a separate notice where permitted by applicable law.
